ITC ne announce kiya hai ki uske hotel business ka demerger 1st January 2025 se lagu hoga.

ITC Ltd ne Tuesday ko kaha ki uske hotel business ka demerger 1st January 2025 se effective hoga, aur company ne NCLT se approval milne ki baat bhi kahi. Iss announcement ke baad, ITC ka share price BSE par ₹475.00 tak pahuch gaya, jo 1% se zyada ka rise hai.

Company ne ek exchange filing mein confirm kiya ki Kolkata Bench of NCLT ne October 2024 mein ITC Ltd., ITC Hotels Ltd., aur unke respective shareholders ke beech arrangement ka scheme sanction kiya tha.

Company ne yeh bhi bataya ki usse NCLT ka certified order 4th October 2024 ko mila, jisme arrangement ko sanction kiya gaya. Official copy of the order company ko 16th December 2024 ko 5:26 PM par mili.

ITC ke shareholders ne June 2024 mein hotel business ke demerger ko approve kiya tha, jisme 99.6% public institutions aur 98.4% public non-institutions ne proposal ke haq mein vote kiya tha.

Demerger plan ke under, ITC nayi entity mein 40% stake rakhega, aur baaki 60% shareholders ko unke existing shareholding ke hisaab se milega. ITC hotel entity ko brand usage ke liye token royalty charge karega.

Demerger plan ke tehat, har shareholder ko ITC ke har 10 shares ke badle 1 share ITC Hotels ka milega.

ITC ne apni holding Oberoi (EIH Ltd) aur Leela (HLV Ltd) mein bhi consolidate ki hai, jisme uski wholly owned subsidiary, Russell Credit Ltd. (RCL), dono companies mein apni holding acquire kar rahi hai. ITC ke paas EIH mein 13.69% aur HLV mein 7.58% stake hai, jabki RCL ke paas EIH mein 2.44% aur HLV mein 0.53% stake hai.

ITC ka stock abhi tak last 6 months mein 5% se zyada aur calendar year 2024 mein 12% se upar hai, lekin still 52-week high se 10% se zyada neeche hai. BSE par 12:40 PM tak ITC ka share ₹473.05 par 0.64% upar trade ho raha hai.
